Board Resolution Format In Hind | कंपनी का संकल्प-पत्र कैसे लिखें? पोस्ट के जरिए जानिये, ट्रस्ट/सोसाइटी या किसी भी कंपनी का रिज़ॉल्यूशन लेटर क्या होता है और इसे किस तरह लिखा जाता हैं।
Board Resolution -बोर्ड रिज़ॉल्यूशन क्या है?
बताते चले कि, कंपनी के निदेशक/शेयरधारक सामूहिक रूप से ‘कंपनी का बोर्ड’ गठित करते हैं। जब कंपनी की ओर से किसी भी प्रकार के मुद्दों पर निर्णय लेने की आवश्यकता होती है, तो निदेशक ‘बोर्ड मीटिंग’ में प्रस्ताव सर्वानुमति से पारित करतें है। सम्बंधित निर्णय को लेटरहेड पर लिखित रूप में सभी डायरेक्टर्स के सिग्नेचर (हस्ताक्षर) के साथ सुरक्षित कर लिया जाता है। इसे ‘प्रस्तावना या संकल्प-पत्र’ (Board resolution letter) कहतें है।
रिज़ॉल्यूशन लेटर के उद्देश्य के आधार पर, इसके प्रारूप या प्रकार भी अलग-अलग होते हैं। आमतौर पर जब किसी कंपनी/संस्था की स्थापना कि जाती है तो, सबसे पहले बैंक खाता को खोलने के लिए ‘रिज़ॉल्यूशन लेटर’ बेहद ही महत्वपूर्ण दस्तावेज होता है। इस प्रकार के प्रस्तावना में एक या एक से अधिक डायरेक्टर को बैंक खाते को खोलने और संचालित करने के लिए अधिकृत किया जाता है।
रिज़ॉल्यूशन लेटर इंग्लिश या हिंदी भाषा में हो सकतें हैं, शासकीय दफ्तर में हिंदी में लिखें जाते है। वहीं ट्रस्ट/सोसाइटी या कंपनी में इंग्लिश फॉर्मेट का प्रमुख रूप से उपयोग होता है। यहां ऐसे ही संकल्प पत्र के 2 नमूने दिए गए हैं, जो बैंक खाता खोलने और इंटरनेट बैंकिंग के लिए आवश्यक होते है:
